Services Provided
Action List Developments agrees to provide the Customer with access to the software service hosted on its platform as described in the documentation accompanying this Agreement.
Duration of the Agreement
This Agreement will commence on the date it is signed and remain in effect until either party terminates it by providing thirty (30) days’ written notice to the other party.
Service Fees
In exchange for access to the Software, the Customer shall pay Action List Developments a monthly subscription fee as agreed upon by both parties in advance, which may be adjusted from time to time by mutual agreement. The initial fees shall be outlined in the invoice accompanying this Agreement.
Intellectual Property Rights
Action List Developments retains all rights, title and interest in and to all of its intellectual property associated with or embedded in the software, including any copyright, trademark or patent rights held.
Disclaimer of Warranty
Action List Developments makes no warranties with respect to its services or software; however, it does warrant that it will make commercially reasonable efforts to ensure that access to the Software will remain uninterrupted and secure during any given period of time.
Limitation of Liability
Action List Developments shall not be liable for any damages arising out of use of its services or software, including but not limited to any direct, indirect, incidental or consequential damages, even if it has been advised of such potential damages.
Termination/ Cancellation Policy
In case of breach or violation of any terms of this Agreement by either party, either party may terminate this Agreement upon thirty (30) days’ written notice to the other party without penalty or liability for doing so. In such case, neither party will be obligated for payment beyond those fees paid up through termination date.
